2. Eligibility & Age Requirements

To use Eristotle, you must:

• Be at least 13 years of age
• Have the legal capacity to enter into a binding agreement (or have parental/guardian consent)
• Not be barred from using the App under applicable law

2.1 Age-Based Access Tiers

Eristotle implements age-appropriate access controls in compliance with COPPA and third-party service provider requirements:

2.2 Teen User Restrictions (Ages 13-17)

Users between 13 and 17 years of age may use Eristotle with the following restrictions:

• Parental Consent Required: Must complete a parental verification challenge during onboarding to confirm parent/guardian approval
• Voice Chat Unavailable: Voice chat features are restricted to users 18+ due to third-party API provider requirements (ElevenLabs)
• BYOK Tier Unavailable: The Bring Your Own Key tier is restricted to users 18+ as required by third-party AI provider terms (OpenAI, Anthropic, Google, ElevenLabs)
• No Diagnostics Access: Advanced diagnostic and debugging features are unavailable
• Parental Purchase Controls: In-app purchases are subject to Apple's Family Sharing parental controls
• Premium Features: Cloud AI and text chat features are available with parental verification

2.3 Age Verification

We use Apple's Declared Age Range API to determine user age brackets. This privacy-preserving system:

• Does not collect or store your exact date of birth
• Relies on age information already verified by your Apple ID
• Respects parental controls configured at the device/account level
• Defaults to the most restrictive access if age cannot be verified or is declined

2.4 Parental Consent & Verification

If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

In-App Parental Verification

During onboarding, users under 18 must complete a parental verification challenge to confirm that a parent or guardian has reviewed and approved these Terms. The verification:

• Consists of age-appropriate riddles or multi-step math problems that adults can solve
• Allows up to 3 attempts before restarting the onboarding process
• Does not collect any personal information about the parent or guardian
• Ensures minors have obtained proper consent before using the app

Additional Parental Controls

Parents/guardians can manage their child's access through:

• Apple's Screen Time and Family Sharing settings
• Apple's Ask to Buy feature for in-app purchases
• Device-level parental controls for age sharing

By using the App, you represent and warrant that you meet all eligibility requirements for your access tier.

3. Description of Services

3.1 Core Features (Free Tier)

• Journal Entries: Create unlimited text-based journal entries
• Local AI Analysis: On-device emotion and sentiment analysis using Apple's machine learning models
• AI Chat: Text-based conversations with AI companions (Eris or Talen)
• Local and Cloud Storage: Secure, encrypted storage on your device with optional iCloud Sync

3.2 Premium Features (Paid Subscription)

• Voice Journaling: Record voice memos with automatic transcription
• Voice Chat: Voice-based conversations with AI companions (up to 150 minutes per month for Monthly/Annual subscribers)
• Audio for Text Chat Responses: You can hear your AI companion's responses in Text Chat. Can be turned off anytime
• Advanced Emotion Analysis: Enhanced AI-powered emotional insights and therapeutic suggestions
• Advanced Trends Analytics: In-depth analysis of emotional patterns over time

3.3 BYOK (Bring Your Own Key) Tier

• Use your own API keys from OpenAI, Anthropic, Google, ElevenLabs, and Voyage AI
• Unlimited AI usage with your personal API keys
• Custom AI model settings and configurations
• Customize AI avatars and voice settings

4. Account Registration and Security

4.1 Account Creation

To use certain features of the App, you must create an account using:

• Email and password, OR
• Sign in with Apple, OR
• Sign in with Google

You agree to provide accurate, current, and complete information during registration.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Biometric Authentication

The App supports Face ID and Touch ID for device-level security. When enabled, biometric data is processed entirely by your device's Secure Enclave and is never transmitted to us.

5. Subscription Terms

5.1 Subscription Plans

Prices may vary by region and are subject to change with notice.

5.2 Billing and Renewal

• Subscriptions are billed through Apple's App Store via your Apple ID
• Payment is charged at confirmation of purchase
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period

5.3 Cancellation

• You may cancel your subscription at any time through your Apple ID account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial subscription periods

5.4 Free Trial

• If offered, free trials automatically convert to paid subscriptions unless canceled before the trial ends
• Trial eligibility is determined by Apple and may be limited to first-time subscribers

5.5 Subscription Management

Subscriptions are managed through RevenueCat and Apple's StoreKit. By subscribing, you also agree to:

• Apple's Terms and Conditions
• RevenueCat's Terms of Service

6. User Content

6.1 Ownership

You retain full ownership of all content you create, including:

• Journal entries
• Voice recordings
• Transcriptions
• Any other user-generated content

6.2 License to Us

By using the App, you grant us a limited, non-exclusive license to:

• Process your content to provide the App's features
• Generate AI analysis and insights from your entries
• Create embeddings for search and pattern detection
• Encrypt and store your content securely

This license is solely for the purpose of providing and improving the App's services.

6.3 Content Standards

You agree not to create content that:

• Violates any applicable laws
• Infringes on third-party intellectual property rights
• Contains malware or harmful code
• Attempts to compromise the App's security

6.4 Content Retention

• Content is stored locally on your device by default
• If cloud sync is enabled, content is stored in iCloud (encrypted)
• You may export or delete your content at any time through the App

7. AI Services and Third-Party Integrations

7.1 AI-Powered Features

The App uses artificial intelligence to provide:

• Emotion and sentiment analysis
• Therapeutic insights and suggestions
• Pattern detection and trend analysis
• Conversational AI companions
• Voice transcription

7.2 Third-Party Services

The App integrates with the following third-party services:

7.3 OpenRouter Integration

Some AI features may be routed through OpenRouter, an LLM aggregator service. By using these features, you acknowledge:

• Data Handling: OpenRouter does not store prompts or responses unless you explicitly opt in via their account settings
• Metadata Collection: OpenRouter collects request metadata (token counts, latency) but not prompt content
• Provider Routing: Requests may be routed to various AI providers based on availability and performance
• Terms Compliance: Your use is subject to OpenRouter's Terms of Service and Privacy Policy
• Age Requirement: OpenRouter requires users to be at least 13 years of age

7.4 BYOK (Bring Your Own Key) Terms

If you use the BYOK tier:

• You must be at least 18 years of age
• You are responsible for your own API keys and their associated costs
• You must comply with the terms of service of each API provider (OpenAI, Anthropic, Google, ElevenLabs, Voyage AI, OpenRouter)
• We are not responsible for charges incurred through your API keys
• API keys are stored securely in your device's Keychain

7.5 Voice Usage Limits

• Monthly and Annual subscribers receive 150 minutes of voice chat per month
• Voice minutes reset at the beginning of each billing cycle
• Unused minutes do not roll over
• BYOK users have unlimited voice usage when using their own ElevenLabs API key

8. Privacy and Data Protection

8.1 Data Collection

We collect and process limited data to provide the App's services:

• Account information (email, authentication tokens)
• Journal entries and voice recordings (encrypted)
• App usage analytics (anonymized)
• Subscription status

8.2 Data Storage and Security

Your data is protected by:

• AES-256 Encryption: All sensitive content is encrypted using industry-standard AES-GCM encryption
• Secure Enclave: Encryption keys are stored in your device's hardware-secured Keychain
• Local-First Design: Data is stored locally by default
• Optional Cloud Sync: When enabled, data is encrypted before transmission and stored encrypted in the cloud

8.3 Data Sharing

We do not sell your personal data. Your data may be shared only:

• With third-party services necessary to provide App features (as described in Section 7.2)
• When required by law or legal process
• With your explicit consent

8.4 Data Deletion

You have the right to:

• Export all your data at any time
• Delete individual entries
• Delete all data and your account
• Request complete data deletion by contacting us

9. Intellectual Property

9.1 Our Intellectual Property

The App, including its design, features, code, logos, trademarks, and AI models, is owned by Yokii Studio LLC and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App
• Reverse engineer or decompile the App
• Remove any proprietary notices
• Use our trademarks without permission

9.2 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us a non-exclusive, royalty-free license to use and implement such feedback without obligation to you.

10. Prohibited Conduct

You agree not to:

Misuse the Service

• Use the App for any illegal purpose
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's functionality
• Use automated means to access the App without permission

Abuse AI Features

• Attempt to manipulate or "jailbreak" AI responses
• Use AI features to generate harmful, illegal, or abusive content
• Misrepresent AI-generated content as professional advice

Violate Others' Rights

• Infringe on others' intellectual property rights
• Violate others' privacy or data protection rights
• Harass, abuse, or harm others

Circumvent Security

• Attempt to bypass encryption or security measures
• Share your account credentials with others
• Exploit bugs or vulnerabilities

11. Disclaimers

11.1 "As Is" Provision

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY OR RELIABILITY.

11.2 No Professional Advice

THE APP IS NOT A SUBSTITUTE FOR PROFESSIONAL MENTAL HEALTH CARE.

The AI companions, insights, and analysis provided are for informational and journaling purposes only. They are not:

• Medical advice
• Psychological or psychiatric treatment
• Crisis intervention services
• Professional counseling

11.3 AI Limitations

• AI-generated content may contain errors or inaccuracies
• AI responses are based on patterns and may not be appropriate for all situations
• We do not guarantee the accuracy, completeness, or usefulness of AI outputs

11.4 Third-Party Services

We are not responsible for the availability, accuracy, or conduct of third-party services integrated with the App.

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOKII STUDIO LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or data loss
• Actions of third-party services
• Any damages exceeding the amount you paid for the App in the 12 months preceding the claim

12.2 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Yokii Studio LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at support@eristotle.app to attempt informal resolution. We will work in good faith to resolve issues within 30 days.

14.3 Arbitration

If informal resolution fails, any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in California or via telephone/video conference.

14.4 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

14.5 Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or security breaches.

15. Termination

15.1 By You

You may terminate your account at any time by:

• Deleting your account through the App settings
• Uninstalling the App
• Contacting us to request account deletion

15.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Create risk or legal exposure for us

15.3 Effect of Termination

Upon termination:

• Your right to use the App ceases immediately
• We may delete your data (subject to legal retention requirements)
• Provisions that should survive termination (e.g., limitations of liability, intellectual property) remain in effect

16. Changes to These Terms

We may update these Terms from time to time. When we do:

• We will post the updated Terms in the App
• We will update the "Last Updated" date
• For material changes, we will notify you via email or in-App notification

Your continued use of the App after changes constitutes acceptance of the updated Terms.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and YokiiStudio regarding the App.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights, except as expressly provided.
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, or government actions.

18. Apple-Specific Terms

As required for apps distributed through the Apple App Store:

1. Acknowledgement: You acknowledge that these Terms are between you and Yokii Studio LLC only, not with Apple. Yokii Studio LLC, not Apple, is solely responsible for the App and its content.
2. Scope of License: Your license to use the App is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the App Store Usage Rules.
3. Maintenance and Support: Yokii Studio LLC is solely responsible for providing any maintenance and support services for the App. Apple has no obligation to provide any maintenance or support services.
4. Warranty: Yokii Studio LLC, not Apple, is responsible for any product warranties. If the App fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price (if any). Apple has no other warranty obligation.
5. Product Claims: Yokii Studio LLC, not Apple, is responsible for addressing any claims relating to the App or your possession and use of the App.
6. Intellectual Property Claims: In the event of any third-party claim that the App infringes intellectual property rights, Yokii Studio LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim.
7. Legal Compliance: You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
